João Nuno Barros, partner at BMFS | Porto Law, recently published a Portuguese case-law compilation entitled “Destituição de Gerentes e Administradores de Sociedades Comerciais – A Visão dos Tribunais Portugueses” through the publisher Nova Causa – Edições Jurídicas.
The compilation presents itself as a study instrument which aims to help all the academic and professionals that, anyhow, deal with corporate law, in general, and with subjects related with the dismissal of board members, in particular.
Throughout the compilation are judicial decisions issued by the superior Portuguese Courts related with the forms and effects of the dismissal of board members, the fair cause concept and the duties of the board members, the indemnity due to the directors, and also related with several procedural questions associated to the dismissal of board members.
